1. Agreement to Terms
By accessing or using the website located at metorox.com (the "Site") and any services, software products, or digital marketing offerings provided by Metorox Software LLC ("Metorox," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our Site or services.
These Terms constitute a legally binding agreement between you and Metorox Software LLC, a Utah limited liability company based in Draper, Utah.
2. Services Overview
Metorox provides the following services, subject to these Terms:
- Custom Software Development — WordPress plugins, SaaS solutions, booking/ticketing systems, and bespoke applications.
- SaaS Products — Subscription-based software including Support Pro, CurtainCall Ticketing, and other products as listed on our Site.
- Digital Marketing — SEO, social media management, content strategy, and email marketing services.
- Web Hosting & Maintenance — Hosting, support packages, and ongoing maintenance.
- Website Development — Design, development, and deployment of websites.
3. User Accounts
Certain services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
You must provide accurate, current, and complete information during registration and keep your account information updated. We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.
4. Pricing & Payments
Project-Based Pricing: Custom development projects are quoted on a fixed-price, per-project basis. Quotes are provided in writing and are valid for 30 days unless otherwise stated.
Subscription Services: SaaS products are billed on a monthly or yearly basis as indicated at the time of purchase. Subscription fees are non-refundable except as required by applicable law or as stated in our refund policy.
Digital Marketing Services: Marketing services are billed according to the selected tier and billing cycle agreed upon at the start of the engagement.
We reserve the right to modify pricing at any time. Existing subscribers will be notified at least 30 days before any price changes take effect on their accounts.
5. Intellectual Property
Our IP: All source code, designs, logos, trademarks, documentation, and content on this Site are the property of Metorox Software LLC unless otherwise stated. You may not reproduce, distribute, modify, or create derivative works without our express written permission.
Custom Work: For custom software development projects, source code and intellectual property remain the property of Metorox Software LLC unless a separate written agreement explicitly transfers ownership. Clients own their data at all times. Resale of custom-developed software without authorization is prohibited.
Client Content: You retain ownership of any content, data, or materials you provide to us for use in your project. By providing such content, you grant us a limited license to use it solely for the purpose of delivering the agreed-upon services.
6. Acceptable Use
You agree not to use our Site or services to:
- Violate any applicable local, state, national, or international law or regulation.
- Transmit any material that is defamatory, obscene, fraudulent, or otherwise objectionable.
- Attempt to gain unauthorized access to our systems, networks, or other users' accounts.
- Interfere with or disrupt the integrity or performance of our services.
- Upload or transmit viruses, malware, or any other malicious code.
- Use our services for any purpose that is unlawful or prohibited by these Terms.

7. Service Level & Support
We strive to maintain high availability for all SaaS products and hosted services. While we aim for 99.9% uptime, we do not guarantee uninterrupted service. Scheduled maintenance windows will be communicated in advance when possible.
Support is provided via email and phone during business hours. We aim to respond to all inquiries within 24 hours. Severity-based response times apply to ticketed support requests as outlined in our support documentation.
8. Data & Privacy
Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using our services, you consent to the practices described in our Privacy Policy.
For SaaS products, customer data is isolated using containerized environments (Docker) with encryption at rest and in transit. We perform daily backups with a 6-hour restore SLA.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Metorox Software LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of (or inability to access or use) our services.
- Any conduct or content of any third party on our services.
- Any content obtained from our services.
- Unauthorized access, use, or alteration of your transmissions or content.
Our total liability for any claim arising from or relating to these Terms or our services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Metorox Software LLC, its owner, and any future employees or contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your violation of any rights of another party.
11. Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our services will immediately cease.
For subscription services, you may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. No refunds will be issued for partial billing periods unless required by applicable law.
12. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved in the state or federal courts located in Salt Lake County, Utah.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this page. Your continued use of our services after any changes constitutes acceptance of the new Terms.
